By accessing the PROROUT website at prorout.com or purchasing any of our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.
These Terms apply to all visitors, clients, and anyone who accesses or uses PROROUT's services in any capacity. By submitting a project brief, making a payment, or otherwise engaging with us, you confirm that you have read and accepted these Terms.
If you have signed a written service agreement with PROROUT, that agreement governs your services. Where it differs from these Terms, the signed agreement controls.
PROROUT provides website design, development, and digital business services to local and small businesses. Our services include, but are not limited to:

Pricing displayed on the PROROUT website may change. Once an order has been placed and payment has been received, the agreed price at the time of purchase is honored. The recurring fee for an active plan changes only with at least 30 days' written notice, or 60 days for a governmental client, and you may cancel before an increase takes effect.
Build fees, where they apply, are stated in your quote or signed agreement, and some plans and offers waive them. Monthly subscription fees begin only after you have reviewed and approved your completed website and it has gone live.
Any additional services, features, or work outside the scope of your selected plan may be quoted and billed separately.
All payments are processed securely through third-party payment providers, such as Stripe. PROROUT does not store your payment card information directly.
Important: All prices are in USD. You are responsible for any applicable taxes or fees associated with your payment method or location.
When you purchase a website plan from PROROUT, the general process is as follows:
Timeline:Estimated build times (such as 3–7 business days) begin only after all required information, content, and assets have been received from the client. Incomplete submissions will delay the start of your build.
To allow PROROUT to deliver your project on time and to a high standard, you agree to:
Project delays caused by missing information, missing assets, or lack of communication from the client may extend the project timeline. PROROUT is not responsible for delays resulting from the client's failure to fulfill these responsibilities.
Each plan includes a defined level of website updates. The number and frequency of updates available to you depends on your selected plan.

Domain ownership: Any domain registered by PROROUT on your behalf is intended for your use. Upon request and where applicable, domain transfer details can be provided if you choose to move your services elsewhere.
PROROUT provides basic SEO setup and Google indexing assistance as part of applicable plans. This includes on-page SEO structure, meta tags, page titles, and submitting your site for indexing through Google Search Console where applicable.
No guarantees: PROROUT does not guarantee specific search engine rankings, website traffic levels, or business results from SEO efforts. Search engine algorithms change frequently and are outside our control.
PROROUT may offer AI-powered features including website assistants, chat automations, CRM integrations, and related tools as part of certain plans. These features rely on third-party platforms and APIs. Their output can be wrong or incomplete, so review it before relying on it or publishing it.
You retain full ownership of all content, images, copy, and brand assets you provide to PROROUT. You grant PROROUT a limited license to use these materials solely for the purpose of building and maintaining your website.
Your completed websiteYou own your domain and all content and brand assets you provide, from day one. The design and code built for your site are licensed to you while your plan is active, and become yours once every fee owed has been paid. If your plan ends and your account is current, PROROUT keeps your site live for 30 days and gives you one free export of your site files. Help moving the site elsewhere is billed hourly.
PROROUT's systems and templatesPROROUT retains ownership of all proprietary systems, templates, software, automation workflows, and reusable code used to build websites. These may not be copied, resold, or repurposed without written permission from PROROUT.
Because PROROUT delivers digital services — not physical products — our refund policy reflects the work and resources committed once a project begins. Please read the following carefully before purchasing.
Nothing Is Due Until You Approve Your SiteYour website is designed, built and shown to you before any payment is due. Once you approve it, the one-time build fee and your monthly plan are billed on the schedule stated in your signed agreement.
Change your mind before launch?No problem — if you decide not to move forward before approving your website, you owe nothing.
Monthly subscription fees are not refunded under any circumstances, including if you cancel before the end of your billing period. However, your website will remain fully live and active through the last day of your paid term.
Here's how it works in plain terms:
Summary:On a no-build-fee plan, nothing is owed until your site is approved and live. Pay monthly and your site stays live through the end of that month, with no refund. Month-to-month plans cancel with 30 days' notice and no penalty. A signed agreement follows its own term and cancellation rules.
Clients on month-to-month plans may cancel with 30 days' notice by emailing PROROUT at cooper@prorout.com. One email is enough. Clients with a signed service agreement follow the notice period and any early-termination amount set out in that agreement.
Cancellation of hosting or maintenance services may result in your website going offline unless you arrange to transfer your website and domain to another hosting provider. PROROUT will provide reasonable assistance with transfers upon request.
PROROUT reserves the right to cancel or suspend services for any client who violates these Terms or engages in conduct harmful to our team or other clients.
To the fullest extent permitted by applicable law, PROROUT shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to:
Where permitted by law, PROROUT's total liability for any claim arising from your use of our services is limited to the fees you paid to PROROUT in the 12 months before the claim.
PROROUT may use or integrate third-party platforms and services to deliver your project. These may include:
By using PROROUT's services, you acknowledge that you are also subject to the terms of service and privacy policies of any applicable third-party providers. PROROUT is not responsible for the practices or policies of these providers.
PROROUT is committed to protecting your privacy. The collection, use, and handling of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using our services, you also consent to the data practices described in our Privacy Policy.
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or PROROUT's services are resolved in the state or federal courts located in Allen County, Indiana, and you consent to the jurisdiction of those courts, except where the law requires a different venue for a governmental client.
PROROUT reserves the right to update or modify these Terms and Conditions at any time. When changes are made, the updated Terms will be posted on this page with a revised effective date.
Your continued use of PROROUT's website or services after any changes have been posted constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
